1. Acceptance of Terms
By accessing or using HelmCase (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms apply to all users, including immigration law firms (“Subscribers”) and their clients.
2. Description of Service
HelmCase is a cloud-based SaaS platform designed to assist immigration law offices in managing cases, documents, team members, client communications, and workflow automation. The Service does not provide legal advice and is not a substitute for qualified legal counsel.
3. Subscription Plans & Billing
The Service is offered under three subscription tiers:
- Solo — USD $79/month, single-user
- Studio — USD $179/month, up to 5 seats, 14-day free trial (no credit card required)
- Firm — USD $399/month, unlimited seats, multi-office support
Subscriptions are billed monthly in advance via Stripe. All fees are non-refundable except as required by applicable law. HelmCase reserves the right to modify pricing with 30 days’ written notice.
4. Free Trial
The Studio plan includes a 14-day free trial. No credit card is required to begin the trial. At the end of the trial period, you must enter payment information to continue using the Service. Accounts not upgraded will be suspended.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy. You may not use the Service to: (a) violate any law or regulation; (b) infringe intellectual property rights; (c) transmit malicious code; (d) attempt to gain unauthorized access to systems; or (e) engage in any activity that disrupts the Service.
6. User Accounts & Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access. We are not liable for losses resulting from unauthorized use of your account.
7. Data & Privacy
Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you consent to such processing. For enterprise clients, a Data Processing Agreement is available upon request.
8. Intellectual Property
All software, content, trademarks, and materials comprising the Service are the exclusive property of HelmCase or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.
9. Confidentiality
Each party agrees to maintain the confidentiality of the other party’s non-public information and not to disclose it to third parties without prior written consent, except as required by law.
10. Data Retention & Deletion (LGPD Compliance)
Upon cancellation of your subscription, your data will be retained for 30 days to allow for export. After this period, all data associated with your account will be permanently deleted in compliance with Brazil’s Lei Geral de Proteção de Dados (LGPD — Law No. 13,709/2018). You may request immediate deletion by contacting support@helmcase.com.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELMCASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
13. Termination
We may suspend or terminate your access to the Service at any time for breach of these Terms, with or without notice. You may cancel your subscription at any time through the billing portal. Termination does not relieve you of obligations accrued prior to termination.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Federative Republic of Brazil. For subscribers located in the United States, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA) in the State of Florida. EU users retain rights under applicable EU law including GDPR.
15. Changes to Terms
We reserve the right to update these Terms at any time. We will notify subscribers by email or in-app notification at least 15 days before material changes take effect. Continued use of the Service after changes constitutes acceptance.
